Draft. The commercial clauses below — payment terms, refunds, notice periods and
the liability cap — are placeholders marked [TO CONFIRM]. Settle those, and have the whole
document checked by a lawyer, before relying on this page.
1. Who these terms are between
These terms are between Shera Edutech Consultancy LLP, Nashik, Maharashtra, India (“we”, “us”) and the business that
subscribes to HR Suite 24 (“you”, “the customer”). They cover the HR Suite 24 web portal at
hrms.thejunglebiz.com and the HR Suite 24 Android app.
Your employees use the app under the account you give them. They are not separate customers, and their use is your
responsibility as their employer.
2. Accounts
- You are responsible for who you give access to, and for what they do with it.
- Keep sign-in details private. Tell us promptly if you think an account has been misused.
- We may suspend an account that is being used to break these terms or the law.
3. The free trial
- The trial runs for 3 days from the day you create your company on HR Suite 24.
- No payment details are needed to start it.
- The trial is the full product. It is for evaluation, not for running your business indefinitely.
- If you do not subscribe when the trial ends, access stops and your data is handled as set out in clause 7.
4. Fees and payment
- Your fee is confirmed in writing before you subscribe, and depends on your employee count, your number of branches and the modules you switch on.
- Fees are quoted in Indian rupees. Taxes are charged as the law requires. [TO CONFIRM: whether quoted prices include GST]
- [TO CONFIRM: billing cycle, when payment is due, and what happens if an invoice is not paid]
- [TO CONFIRM: how and when fees may be revised, and how much notice you get]
5. Cancellation and refunds
- [TO CONFIRM: notice period for cancelling]
- [TO CONFIRM: refund position — whether part-period fees are refunded, and the position on one-time licences and setup work]
- Before your access ends you may export your data. Clause 7 covers what happens to it afterwards.
6. How you may use the service
You may use HR Suite 24 to run attendance, leave, payroll and related HR work for your own business. You may not:
- resell, sublicence or run it as a service for another business without our written agreement;
- copy, decompile or attempt to extract the source;
- test its security without written permission, or interfere with it for other customers;
- upload anything unlawful, or anyone’s personal data that you have no right to hold;
- use it to monitor staff in a way the law where you operate does not allow.
7. Your data
- The employee records you put into HR Suite 24 remain yours. We do not sell them and do not use them for our own purposes.
- Under the Digital Personal Data Protection Act, 2023 you are the Data Fiduciary and we act as your Data Processor. The privacy policy sets out what is processed, why, and for how long.
- Data is stored on servers in India.
- You are responsible for telling your employees that HR Suite 24 is in use and for obtaining any consent the law requires.
- After your account closes we delete or anonymise your data, except where we are required to keep it. [TO CONFIRM: how long an export remains available after closure]
8. Availability and support
- We aim to keep the service available at all times, but it is not guaranteed to be uninterrupted.
- Planned maintenance is notified in advance where we reasonably can.
- Support is by email at support@thejunglebiz.com, Monday to Saturday, 10:00–18:00 IST. [TO CONFIRM: response-time commitment, if any]
9. Changes to the service
We improve the product continuously, so features change. We will not remove something you depend on without reasonable notice. If a change materially reduces what you are paying for, you may cancel under clause 5.
10. Liability
HR Suite 24 records and presents the information you and your staff enter. It does not give legal, tax or payroll advice, and the figures it produces remain yours to check before you pay anyone or file anything.
We are not liable for loss of profit, loss of business or indirect loss. [TO CONFIRM: liability cap — commonly the fees paid in the preceding 12 months]
Nothing in these terms limits liability that cannot be limited by law.
11. Ending the agreement
Either of us may end the agreement under clause 5. We may end it immediately if you breach these terms seriously and do not put it right within a reasonable time of being asked.
12. Changes to these terms
If these terms change we will update this page and the date below, and tell subscribing customers in advance of anything significant.
13. Governing law
These terms are governed by the laws of India. The courts at Nashik, Maharashtra have exclusive jurisdiction, subject to any right you have to approach a statutory forum.
